APPLICANT AGREEMENT

1. Definitions  

1.1. Applicant refers to the person responsible for the grant application submitted to Talku Talku and for planning and implementation of the project. When an organisation applies for the Talku Talku Creative Grant, the organisation has the same responsibility as an Applicant.

1.2. Project refers to the activities and documents submitted by the Applicant and supported by the Grant from Talku Talku.

1.3. Grantee refers to the individual who receives the Grant Prize.

1.4. TTCG refers to the Talku Talku Creative Grant.

2. General 

2.1. The Applicant certifies that all statements and documents in this Application are complete and truthful.

2.2. The Applicant agrees and accepts that upon winning the Grant, they become ineligible to apply for TTCG for the next four (4) application cycles.

2.3. The Applicant agrees that the Grant may be used only for the purposes outlined in their grant application and Project. 

2.4. Talku Talku reserves the right to verify all information before commissioning the Grant prize.

2.5. Application is entered directly and can not be administered via a third party.

2.6. The Grantee agrees that it will not apply for or obtain Duplicate Funding in respect of any part of the project activities which have been paid for in full using the Grant.

 

 3. Award, Use of the Grant, and Payment Schedule  . 

3.1. Grant Award. The Grant prize of $1,000 will be awarded to one worthy creative project after reviewing by independent panelists.

3.1. Use of Grant. The Grant shall be used strictly and solely towards the execution of the Project per the Project Description and Project budget outlined in the Grant application. No portion of the Grant may be allocated towards activities that are not for the intended project. All funds must be used exclusively for the project.

3.2. Grant Payment and Schedule. The Grant prize will be awarded to the winner within 40 – 60 days after an official declaration by Talku Talku.

3.2.1.  The Grant shall be paid out in Nigerian currency and in line with the official CBN rate at the time of disbursement, which implies that Talku Talku shall not carry the risk of any currency fluctuations. Likewise, any taxes and charges that may become due as a result of payment and receipt of the Grant shall be the responsibility of the Grant Winner, as applicable, and shall be of no concern to Talku Talku.

3.2.2. Talku Talku will have no liability to the Grantee for any Losses caused by a delay in the payment of the Grant claim howsoever arising.

3.2.3. The Grantee shall promptly notify and repay immediately to Talku Talku any money incorrectly paid to it either as a result of an administrative error or otherwise. If the Grantee fails to repay the due sum within 30 working days the sum will be recoverable summarily as a civil debt.

 

4. Record Keeping and Documentation.  

4.1. The Grantee will maintain complete reports and accurate accounting records and make such records and reports available to enable Talku Talku to monitor and evaluate how Grant Funds have been used or committed. Upon request by Talku Talku, the Grantee shall, as soon as practicably possible, provide copies of files, records, and/or other documentation relating to the Project status, the use of the Grant funds, and the adherence by the Grantee to these Terms.

 

5. Publicity Rights 

5.1. The Grantee is aware that Talku Talku will make public an overview of Grants awarded over a given period, and the Grantee accepts and agrees to the fact that their name will appear as part of such overview which may also include a description of the Project and its status.

5.2. The Grantee has no right to use Talku Talku’s name, logos, or trademark on any of its products or services without Talku Talku’s prior written consent.

 

6. Compliance with Nigerian Laws 

6.1. In carrying out the Project, the Grantee will comply with all applicable laws, regulations, and rules and will not infringe, misappropriate, or violate the intellectual property, privacy, or publicity rights of any third party. The Grantee will conduct, control, manage, and monitor the Project in compliance with all applicable ethical, legal, regulatory, and safety requirements, including applicable international, national, state, local, and institutional standards.

 

7. Indemnification. 

7.1. The Grantee will indemnify, defend, and hold harmless Talku Talku and its employees, partners, and agents (“Indemnified Parties”) from and against any demands, claims, actions, suits, losses, damages (including property damage, bodily injury, and wrongful death), arbitration and legal proceedings, judgments, settlements, or costs or expenses (including reasonable attorneys’ fees and expenses) (collectively, “Claims”) arising out of or relating to the acts or omissions, actual or alleged, of the Grantee or their employees, subcontractors, contingent workers, partners, agents, and affiliates concerning any indemnified activities.

 

8. Monitoring. 

8.1. Talku Talku may monitor and review the Grantee’s use of the Grant Funds, the performance of the Project, and compliance with this Agreement.

 

9. Termination And Rights Reserved For Breach And Termination  

9.1. Talku Talku may exercise its rights and at its discretion, reduce, suspend, or terminate payments of Grant, or require any part or all of the Grant to be repaid, if any of the following events occurs:

9.1.1. the Grantee uses the Grant for a purpose other than the Project activities or fails to comply with any of the other obligations of the Grant Funding Agreement;

9.1.2. the delivery of the Project does not start within the stipulated date and the Grantee has failed to provide Talku Talku with a satisfactory explanation for the delay or failed to agree to a new commencement date;

9.1.3. the Grantee fails to declare Duplicate Funding;

9.1.4. the Grantee acts in a way which in our reasonable opinion has the potential to damage materially our brand, reputation, or goodwill;

9.1.5. the Grantee provides Talku Talku with any materially misleading or inaccurate information and/or any of the information provided in their grant application or any subsequent supporting correspondence is found to be incorrect or incomplete to an extent that Talku Talku considers to be significant.
